Terms of Service

Effective August 3, 2026. This is the agreement between you and Sunnyy LLC covering the Sunnyy Mac app, sunnyy.ai, and everything we run behind them. We have tried to write it in plain English.

1. Who you are dealing with

Sunnyy is operated by Sunnyy LLC (“Sunnyy”, “we”, “us”). You can reach us at info@sunnyy.ai. By downloading the app, creating an account, or paying us, you accept these terms. If you do not accept them, do not use Sunnyy.

You must be at least 18 years old, or the age of majority where you live, to buy a paid plan.

2. What Sunnyy does

Sunnyy is a voice-first assistant for macOS. It listens when you ask it to, sends what you say to AI models we pay for, and can take actions on your Mac and in apps you have explicitly connected. It is a tool that acts on your instructions — you remain responsible for what you ask it to do and for the consequences of those actions.

We improve, change and occasionally remove features. If we remove something material that you are paying for, you may cancel and we will refund the unused portion of a prepaid term.

3. Accounts

You need an account, which is an email address and a password. Keep the password to yourself; you are responsible for activity under your account. One person, one account. The free allowance is granted once per person per Mac — creating extra accounts to collect repeated free allowances is a breach of these terms and we may reclaim the balance and close the accounts.

4. Plans, prices and renewal

Paid plans are subscriptions. Monthly plans renew every month and yearly plans renew every year, automatically, at the price then listed, until you cancel. Yearly plans are charged in full, up front — a yearly Ultra plan is a single charge of $950.40, not a monthly one. Yearly billing is discounted 20% against the monthly rate.

Payments are handled by Stripe; we never see or store your card number. Prices are in US dollars and exclude any tax that applies where you live. If we change the price of your plan, we will tell you by email at least 30 days before it takes effect, and you can cancel before then.

You can see and change your plan, payment method and renewal date at any time from Settings → Plan → Manage billing in the Mac app.

5. Cancellation and refunds

You can cancel at any time, and your plan keeps working until the end of the period you have already paid for. Nothing is charged after that. We do not give refunds for partial periods — a cancelled monthly plan runs out its month, and a cancelled yearly plan runs out its year, rather than being refunded pro rata.

Two exceptions, because they are the fair ones: if you were charged in error, or if we materially remove something you were paying for, write to us and we will refund you. We would also rather refund an unhappy customer than argue — if something has genuinely gone wrong, email info@sunnyy.ai and tell us what happened.

Please contact us before disputing a charge with your bank. A dispute freezes the account automatically and takes far longer to resolve than an email.

6. What each plan includes

Every plan is the same product; plans differ only in scale. Each billing period includes an amount of AI usage that we pay for on your behalf, measured in what the underlying models actually cost us, plus a number of delegated agent jobs and a limit on how many agents may run at once.

When the included usage for a period runs out, Sunnyy stops making paid AI requests until the period resets. It will tell you plainly that this has happened. There is no automatic overage charge and no way to buy more mid-period — we would rather pause than bill you a number you did not expect. You can move to a larger plan at any time, which takes effect immediately.

A single agent job is also capped at 75 tool steps, so a task that gets stuck in a loop cannot run forever. This is a fair-use ceiling, not a target; ordinary jobs finish in a small fraction of it.

7. Fair use

The included usage is for one person using Sunnyy normally. Do not resell it, share your account, route another product’s traffic through it, or run automated bulk workloads against it. If usage on an account looks automated or shared, we may ask you about it, apply rate limits, or move the account to a plan that matches the usage.

8. Acceptable use

Do not use Sunnyy to:

  • break the law, or help someone else break it;
  • access systems or accounts you are not authorised to access, or have Sunnyy act on a computer that is not yours to control;
  • generate material that sexualises children, incites violence, or harasses a specific person;
  • build a competing model or service by extracting our prompts, or probe our systems for weaknesses without asking us first;
  • do anything that breaches the terms of the AI providers we route to, which are named in our Privacy Policy.

9. Your content, and what the AI produces

What you say to Sunnyy, and the files and app data it reads on your instruction, remain yours. You give us only the permission we need to run the service for you: to send that material to the AI providers listed in our Privacy Policy, and to return the answer to you.

We do not train models on your content, and we do not sell it. The output belongs to you, as far as we are able to grant it — bear in mind that AI output is not always original and is not always correct.

10. Connected apps

When you connect another service, you authorise Sunnyy to act there on your behalf, within the permissions that service grants. We are not responsible for those third-party services, their availability, or what they do with data you send them. You can disconnect any of them at any time from Settings.

11. Suspension

We may suspend or close an account that breaches these terms, that is being used to abuse the free allowance, or that we are legally required to act on. Where the situation allows it we will warn you first and give you a chance to put it right. If we close a paid account for a reason that is not your fault, we refund the unused portion of the term. If we close it for a serious breach, we do not.

12. No warranty

Sunnyy is provided “as is”. We do not promise it will be uninterrupted, error-free, or that its answers will be accurate. Sunnyy can be confidently wrong, and it can take actions on your Mac that are difficult to undo. Treat it like a capable assistant who is new to the job: check its work before it matters, and keep backups of anything you cannot afford to lose. To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.

13. Limitation of liability

To the fullest extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or lost data, arising out of these terms. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim arose.

Nothing here limits liability that cannot legally be limited, including for fraud or for death or personal injury caused by negligence. Some jurisdictions do not allow these limits, in which case they apply to you only as far as that jurisdiction permits.

14. Indemnity

You agree to cover us against claims brought by someone else that arise from your use of Sunnyy in breach of these terms or of the law.

15. Changes to these terms

We may update these terms. If a change materially affects your rights we will email you at least 30 days before it takes effect, and continuing to use Sunnyy after that date means you accept the new version. The effective date at the top always tells you which version is current.

16. Governing law and disputes

These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Before filing anything, email us at info@sunnyy.ai and give us 30 days to try to sort it out — almost everything is resolvable that way. If it cannot be resolved, the state and federal courts located in Pennsylvania have exclusive jurisdiction, and both parties consent to that venue.

17. The rest

These terms, together with the Privacy Policy, are the whole agreement between us. If a court finds part of them unenforceable, the rest stands. Our not enforcing something once does not waive it. You may not transfer this agreement; we may transfer it as part of a merger or sale of the business.
